These Terms of Service ("Terms") form a binding agreement between you and Daily Stride LLC ("Efandex," "we," "us"). By creating an account, browsing Listings, booking a Space, or listing your own Space, you agree to these Terms, our Privacy Policy, and — depending on your role — the Host Agreement or Guest Agreement, all of which are incorporated into this document by reference.

How these documents work together: If there's ever a direct conflict between these Terms and the Host or Guest Agreement on a specific point (like fees or cancellations), the role-specific agreement controls for that point.

• You must be at least 18 years old and able to form a binding contract in your jurisdiction.
• You must provide accurate, current information when creating your account and keep it up to date.
• You're responsible for all activity that happens under your account and for keeping your login credentials secure.

Efandex is a marketplace that connects Hosts who list Spaces with Guests who book them for Events. We provide the platform, payment processing (via Stripe), and support tools that make booking, paying, and communicating possible.

Key protection — read carefully: Efandex is not a party to any Booking, does not own or manage any Space, and is not an event venue, property manager, or insurer. The agreement for a specific Booking is between the Host and the Guest. Efandex facilitates that agreement; we are not responsible for the condition of a Space, the conduct of a Host or Guest, or anything that happens during an Event.

The same account can act as both a Host and a Guest. Each role carries its own responsibilities, fees, and rules, set out in the Host Agreement and Guest Agreement. You accept the relevant agreement the first time you list a Space or submit a Booking Request.

Additional requirements: Hosts must additionally provide proof of insurance and proof of ownership or authorization to list before a Listing can go live, and Guests must separately accept a Liability Waiver before every Booking. These requirements are set out in full in the Host Agreement and Guest Agreement.

Efandex charges a Host Fee and a Guest Fee on Bookings, as described in the Host and Guest Agreements. All payments, refunds, and Payouts are processed through Stripe. By using Efandex, you authorize us to charge your provided payment method for amounts you owe and to send Payouts to your connected payout method, through Stripe.

When you upload photos, descriptions, or other content for a Listing, review, or profile, you keep ownership of it, but you grant Efandex a worldwide, royalty-free license to use, display, reproduce, and promote that content on the app, website, and in marketing, for as long as your account or Listing is active plus a reasonable period after.

You confirm that you have the right to share anything you upload and that it doesn't infringe anyone else's rights.

You agree not to:

• Use Efandex for any illegal purpose, or list/book a Space for an illegal Event.
• Circumvent the platform to pay or get paid outside the app in order to avoid fees.
• Post false, misleading, or discriminatory content, or discriminate against a Host or Guest based on a protected characteristic.
• Harass, threaten, or endanger another user.
• Attempt to access another user's account or interfere with the platform's normal operation.

Booking or hosting an in-person Event carries inherent risk. You understand and accept that Efandex does not inspect Spaces, verify insurance, or supervise Events, and that you use the Space and interact with other users at your own risk. You're responsible for your own safety and the safety of your Attendees.

Efandex is provided "as is" and "as available." We don't guarantee that a Listing is accurate, that a Space is safe or suitable for your Event, that the app will be uninterrupted or error-free, or that any Host or Guest will fulfill their obligations. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

To the fullest extent permitted by law, Efandex's total liability to you for any claim arising from your use of the platform is limited to the total fees you paid to Efandex on the Booking giving rise to the claim, in the twelve months before the claim arose. Efandex is not liable for indirect, incidental, or consequential damages, including property damage, personal injury, or lost income arising from an Event, a Host's or Guest's conduct, or a Space's condition.

You agree to defend, indemnify, and hold Efandex harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the platform, your Listing or Booking, your violation of these Terms, or your violation of any law or third-party right.

Hosts are independent providers of their own Space, not employees, agents, franchisees, or partners of Efandex. Nothing in these Terms creates an employment, agency, or joint-venture relationship between Efandex and any Host or Guest.

Efandex may suspend or terminate your account, at our discretion, for violating these Terms, the Host or Guest Agreement, or for conduct that creates risk or liability for Efandex or other users. You may close your account at any time, subject to completing or properly canceling any Confirmed Bookings.

If a disagreement can't be resolved through Efandex's in-app dispute process, you and Efandex agree to resolve it through individual binding arbitration rather than in court, and you waive any right to bring or participate in a class action. This clause is subject to the exceptions required by applicable law, which can vary by state or country.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, unless otherwise required by the law of your jurisdiction.

Efandex is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, government action, internet or payment-provider outages, or other circumstances of similar nature.

A companion Legal Terms Addendum covers standard provisions that apply alongside these Terms, including entire agreement, severability, notices, copyright (DMCA) complaints, feedback, export control, accessibility, and privacy rights specific to California and the EU/UK. The Addendum is incorporated into these Terms by reference and is available in Settings > Legal and on our website.

We may update these Terms as Efandex grows. We'll notify you in the app before a material change takes effect. Continuing to use Efandex after that means you accept the update.
